On the 7th February 2006, the NEC Corporation and advised the European Commission that under Article 4 of Council Regulation (EC) No.139/2004 that NEC would acquire sole control over Philips Business Communications (.PBC.; Netherlands) by way of a transfer of shares. This was for the purpose of business activities manufacture and sale of telecommunication equipment, computers and electronic devices; and for distribution and sale of telecommunication solutions. Neelie Kroes, commissioner for competition, released a Non-Opposition document on 13 March 2006 which to all intents and purposes rubber stamped the formation of NEC Philips.
