In the legal architecture of the company, the articles of association are the official backbone, while the shareholders' agreement is often its strategic shadow. Through a rigorous, well-documented analysis, this book explores the unique place of shareholders' agreements in relation to the company's articles of association, highlighting the tensions, complementarities and conflicts that can arise.Based on in-depth case law research, particularly in the context of Tunisian law, the book highlights the practical issues involved in the coexistence of these two instruments.
